Terms of Service

These terms govern your use of ApiCLay-the web application and REST API we operate together as one service-including browsing, registering an account, listing or subscribing to APIs, and using dashboard and playground features.

1. Agreement to these terms

By accessing or using the ApiCLay website, dashboard, or backend API (including routes under /backend), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. The Service

ApiCLay provides an API marketplace and related tools, including but not limited to:

  • Discovery and listing of vendor APIs and company profiles
  • Account registration, authentication (including email OTP where enabled), and session or token-based access to the REST API
  • Vendor configuration of APIs (for example via OpenAPI/Swagger sources or custom HTTP routes), request policies, and integration with our API gateway for buyer-facing access
  • Subscriptions, trials, usage limits, and payments processed through our payment provider (Razorpay)
  • Support tickets, ratings, and related communications where those features are enabled

We may change, suspend, or discontinue any part of the Service; we will try to give reasonable notice for material changes where practicable.

3. Accounts and security

You are responsible for:

  • Providing accurate registration information and keeping it up to date
  • All activity under your account and safeguarding passwords, API tokens, and credentials
  • Notifying us promptly if you suspect unauthorized access

We may refuse registration, suspend, or close accounts that violate these terms or pose a security or abuse risk.

4. Vendor (API provider) obligations

If you publish or manage API listings or company information on ApiCLay, you represent that you have the rights to do so and that your listings are truthful. You must not publish or operate APIs or content that:

  • Violate applicable law or infringe others’ intellectual property, privacy, or publicity rights
  • Are misleading, malicious, or designed to harm users, networks, or data
  • Process personal data without a lawful basis and appropriate notices or agreements with data subjects and buyers, where required

You are responsible for your upstream APIs, documentation, uptime, and compliance. Configuration you supply (including proxy settings, headers, and body templates) must not be used to bypass security, exfiltrate data without authorization, or abuse buyers or our infrastructure.

5. Buyer and API usage

Buyers and subscribers agree to:

  • Use subscribed APIs only within the scope of the vendor’s offering and these terms
  • Respect trial limits, per-day or other request policies, and subscription status shown in the product
  • Not share, sell, or misuse access credentials; not attempt to probe or break our or vendors’ systems beyond normal integration needs
  • Comply with applicable law when sending data to vendor APIs

6. Payments, subscriptions, and taxes

Fees, renewals, and refunds are as presented at checkout or in your dashboard. Payments are processed by Razorpay (or successor processors we may use). You authorize us and our payment partners to charge your chosen payment method for amounts you agree to. You are responsible for any taxes applicable to your use of paid features, to the extent required by law.

Failed payments, chargebacks, or fraud may result in suspension of access until resolved.

7. Refunds and cancellation

Unless a specific offer states otherwise or applicable law requires a different rule:

  • Subscription and usage charges are generally non-refundable once incurred
  • You may cancel recurring subscriptions according to the controls in the product; cancellation stops future billing as described there
  • Billing disputes should be raised promptly through support or the contact information on our Contact page

8. Acceptable use

You must not use the Service to:

  • Violate law or third-party rights
  • Send spam, malware, or deceptive content
  • Overload, disrupt, or attempt unauthorized access to the Service, other users, or vendor systems
  • Scrape or harvest our site or API in violation of technical limits or robots rules, except as allowed by public documentation

9. Intellectual property

ApiCLay’s name, branding, software, and content we create are owned by us or our licensors. Vendors retain ownership of their APIs and listing content subject to the rights you grant us to host, display, and operate the marketplace. If you believe content on the Service infringes your rights, contact us with sufficient detail using the information on our Contact page.

10. Third-party APIs and services

Vendor APIs and external integrations are provided by third parties. Your use of those APIs may be subject to the vendor’s separate terms. We do not control third-party endpoints and are not responsible for their availability, accuracy, or legality.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law, ApiCLay and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill arising from your use of the Service. Our aggregate liability for claims arising out of these terms or the Service will not exceed the greater of (a) the amount you paid to us for the Service in the twelve months before the claim or (b) one hundred U.S. dollars (USD 100), except where law does not allow such a cap.

13. Indemnity

You will defend and indemnify ApiCLay and its affiliates against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, listings, use of vendor APIs, violation of these terms, or violation of law-except to the extent caused by our willful misconduct.

14. Suspension and termination

We may suspend or terminate access for breach of these terms, non-payment, security risk, or legal requirements. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive termination.

15. Changes to these terms

We may update these terms by posting a new version on this page and updating the “Last updated” date. For material changes, we may also notify you by email or in-product notice where we have your contact details. Continued use after the effective date constitutes acceptance unless applicable law requires a different process.

16. Governing law and disputes

These terms are governed by the laws of India, without regard to conflict-of-law rules that would apply another jurisdiction’s law. Subject to mandatory consumer protections where you live, courts located in India will have exclusive jurisdiction over disputes, unless we agree otherwise in writing.
